1. Acceptance of Terms
By using our website or services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.
2. Services Provided
Secuvex provides managed IT security, cloud migration, and cybersecurity services to businesses based on service agreements, including but not limited to:
- Managed IT Security: Monitoring, maintenance, and support of IT infrastructure to ensure security and stability.
- Cloud Migration: Planning, executing, and managing the migration of data and applications to cloud platforms.
- Cybersecurity: Vulnerability assessments, penetration testing, security audits, incident response, and security training.
- Network Security: Design, implementation, and management of secure network infrastructure.
- Fractional CISO (Chief Information Security Officer): Providing strategic cybersecurity leadership and guidance on a part-time basis.
- Fractional CIO (Chief Information Officer): Providing strategic IT leadership and guidance on a part-time basis.
- Microsoft 365 Management: Administration, security, and optimization of Microsoft 365 environments.
- Vendor Management: Selection, management, and oversight of third-party technology and software vendors.
3. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information necessary for the provision of services.
- Cooperating with Secuvex personnel during the service delivery process.
- Maintaining the confidentiality of any credentials or access provided by Secuvex.
- Adhering to all applicable laws and regulations related to data protection and cybersecurity.
- Paying all invoiced fees in a timely manner.
4. Payment and Billing
- Fees for services will be as agreed upon in a separate service agreement or proposal.
- Payment terms will be specified in the invoice.
- Late payments may be subject to interest or penalties.
- Secuvex reserves the right to suspend or terminate services for non-payment.
5. Confidentiality
- Secuvex will maintain the confidentiality of client data and information, except as required by law or with the client’s consent.
- Clients agree to maintain the confidentiality of any proprietary information or trade secrets shared by Secuvex.
- Data processing agreements, where applicable, will further define data handling procedures.
6. Intellectual Property
- All intellectual property rights related to our website and services, including but not limited to software, content, and trademarks, belong to Secuvex.
- Clients are granted a limited, non-exclusive, and non-transferable license to use our services as agreed upon in a service agreement.
- Clients retain ownership of their own data.
7. Limitation of Liability
- Secuvex will not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our website or services.
- Our liability for any direct damages will be limited to the fees paid by the client for the services in question.
- Secuvex will use commercially reasonable efforts to secure client systems, however, no guarantee of perfect security can be made.
8. Disclaimer of Warranties
- Our website and services are provided “as is” and “as available” without any warranties, express or implied; unless, explicitly written in the contract.
- Secuvex does not warrant that our services will be uninterrupted, error-free, or secure.
- We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9. Termination
- Either party may terminate a service agreement with written notice, as specified in that agreement.
- Secuvex reserves the right to terminate services for breach of these Terms or non-payment.
- Upon termination, clients must cease all use of our services and return any proprietary materials.
10. Governing Law
These Terms will be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
11. Changes to Terms
Secuvex reserves the right to modify these Terms at any time. We will provide notice of any changes by posting the updated Terms on our website. Your continued use of our website or services after any changes constitutes acceptance of the new Terms.
12. Data Processing Addendum
If Secuvex processes personal data on behalf of the client as a data processor, a separate Data Processing Addendum (DPA) will be provided and incorporated into the service agreement. Sources and related content
